1. About AceChange

These Terms of Use ("Terms") govern your access to and use of the website AceChange.io and any widgets, tools, or services provided through it (collectively, the "Service").

The Service is operated by Blue Shift LLC, a limited liability company organized under the laws of the United States, with its business address at 1144 Ocean Drive, Miami, Florida, USA ("AceChange", "we", "us", or "our"). You can contact us at info@acechange.io.

AceChange is a non-custodial routing and aggregation service. We display prices and technical options from independent third-party cryptocurrency exchanges, brokers, liquidity providers, payment processors and similar service providers (collectively, "Partner Services" or "Partners"). We do not operate a custodial wallet, we do not hold your funds on your behalf, and we do not execute cryptocurrency trades ourselves.

2. Acceptance of these Terms

By accessing or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree with these Terms, you must not use the Service.

If you use the Service on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind that entity, and "you" and "your" will refer to that entity.

3. Description of the Service & Relationship with Partners

AceChange provides an interface that allows you to:

  • view indicative or live cryptocurrency exchange rates from Partner Services;
  • be redirected to, or interact via widgets with, Partner Services to create and track swaps;
  • optionally use third-party on-ramp/off-ramp providers to buy or sell digital assets.

When you initiate a swap, purchase, sale, or any other transaction, you are entering into a direct relationship with the relevant Partner Service. Those Partners are independent third parties. Their own terms of use, privacy policies, KYC/AML rules, fees, and risk disclosures apply to any transaction you carry out with them.

AceChange is not a party to your transaction with any Partner. We do not guarantee, control, or supervise:

  • the availability, performance, or security of any Partner Service;
  • the correctness of rates, limits, or other parameters offered by Partners;
  • that any transaction started with a Partner will be completed or refunded.

You are solely responsible for carefully reviewing and accepting the applicable Partner’s terms and conditions before using their services.

4. No Custody, No Control Over Your Funds

AceChange is a non-custodial software solution. We do not at any time:

  • receive, hold, or store fiat or digital assets on your behalf;
  • control the private keys associated with your wallets;
  • send, receive, or otherwise move funds between you and any Partner.

All transfers of funds are executed directly between you, your wallet(s), and the Partner Service you choose. You remain fully responsible for:

  • the accuracy of the addresses and network you use;
  • the security of your devices and wallets;
  • backing up and protecting your private keys and seed phrases.

Because we never have custody or control of your digital assets, we cannot reverse, cancel, or recover any transactions, and we accept no responsibility for any loss of funds resulting from actions or omissions by you, any Partner, or any third party.

5. No Investment, Financial, or Tax Advice

All information provided through the Service (including exchange rates, coin descriptions, market data, or educational content) is for general informational purposes only. It does not constitute investment, financial, legal, accounting, or tax advice, and should not be relied on as such.

You are solely responsible for your investment decisions and for obtaining independent professional advice where appropriate. AceChange does not make any recommendation that you buy, sell, or hold any digital asset.

6. Eligibility, Compliance, and Prohibited Use

By using the Service, you represent and warrant that:

  • you are at least 18 years old (or the age of majority in your jurisdiction);
  • you have the full right, power, and authority to enter into these Terms;
  • you are not subject to any applicable sanctions, embargoes, or restrictions;
  • you are not using the Service on behalf of any sanctioned person or entity;
  • your use of the Service complies with all laws and regulations that apply to you.

You agree not to use the Service:

  • for any unlawful purpose, including money laundering, terrorism financing, fraud, or other criminal activity;
  • to violate any applicable U.S. federal, state, or international laws;
  • in connection with any activity that violates the terms of any Partner Service;
  • to attempt to circumvent AML, KYC, or geographic restrictions imposed by Partners;
  • to interfere with or disrupt the Service, its security, or its infrastructure.

7. Digital Asset Risks

Digital assets and related technologies carry significant risks, including but not limited to:

  • high price volatility and risk of total loss of value;
  • technological, security, and protocol risks (e.g., bugs, forks, network congestion);
  • regulatory changes or restrictions in your jurisdiction;
  • counterparty risks associated with third-party wallets and exchanges.

By using the Service, you acknowledge and accept all such risks. You use the Service entirely at your own risk.

8. Taxes

You are solely responsible for determining whether, and to what extent, any taxes apply to your use of digital assets and for reporting and remitting the correct amounts to the appropriate tax authorities. AceChange does not calculate, withhold, report, or remit taxes on your behalf.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE U.S. LAW, THE SERVICE AND ALL CONTENT, FEATURES, AND FUNCTIONALITY ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

WITHOUT LIMITING THE FOREGOING, ACECHANGE AND BLUE SHIFT LLC EXPRESSLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any information provided through the Service will be accurate, complete, or current. Any use of data or information obtained through the Service is at your sole risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE U.S. LAW, IN NO EVENT SHALL ACECHANGE, BLUE SHIFT LLC, OR THEIR MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR:

  • ANY LOSS OF DIGITAL ASSETS OR FUNDS, INCLUDING BUT NOT LIMITED TO LOSSES CAUSED BY ACTIONS OR OMISSIONS OF ANY PARTNER SERVICE, WALLET PROVIDER, OR OTHER THIRD PARTY;
  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; OR
  • ANY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, TO THE EXTENT OUR LIABILITY IS NOT EXCLUDED, THE TOTAL AGGREGATE LIABILITY OF ACECHANGE AND BLUE SHIFT LLC TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD 100).

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY FOR PERSONAL INJURY OR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, ACECHANGE’S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

11. No Responsibility for Third-Party Services and Losses

You acknowledge and agree that:

  • AceChange has no control over any Partner Service, blockchain network, or third-party wallet you choose to use.
  • AceChange does not guarantee that any transaction will be executed, confirmed within a certain time, or refunded by any Partner.
  • AceChange does not assume and expressly disclaims any responsibility or liability for any loss, damage, or claim arising from:
    • your use of any Partner Service or third-party wallet;
    • errors in the addresses, networks, or amounts you provide;
    • delays, failed transactions, or seized or blocked funds;
    • acts, omissions, or insolvency of any Partner or other third party.

YOUR USE OF PARTNER SERVICES IS ENTIRELY AT YOUR OWN RISK AND SUBJECT TO THE TERMS AND POLICIES OF THOSE PARTNERS. ACECHANGE PROVIDES ONLY A SOFTWARE INTERFACE AND DOES NOT ACCEPT ANY LIABILITY FOR ANY LOSSES YOU MAY SUFFER IN CONNECTION WITH DIGITAL ASSETS OR THIRD-PARTY SERVICES.

12. Indemnification

You agree to defend, indemnify, and hold harmless AceChange, Blue Shift LLC, and their members, managers, employees, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

  • your use of the Service or Partner Services;
  • your violation of these Terms or any applicable law;
  • your violation of any third-party right, including any Partner’s rights.

13. Changes to the Service and to these Terms

We may modify, suspend, or discontinue any part of the Service at any time without prior notice. We may also update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page.

Your continued use of the Service after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service.

14. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or the Service shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction and venue of such courts.

15. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AceChange regarding your use of the Service and supersede any prior or contemporaneous agreements or understandings.
